Terms of Service
Article 1 (Purpose) These Terms set out the conditions for using Kimeboard (the "Service") provided by SBGG LLC (合同会社SBGG, "we" or "us"). By using the Service, you agree to these Terms.
Article 2 (Definitions) In these Terms: (1) "Customer" means a software development company or other business that registers for and pays for the Service, and its employees. (2) "Client participants" means the clients and other stakeholders whom a Customer invites to a project to answer questions (also "respondents"). (3) "Project" means a unit within the Service that corresponds to one development project. (4) "Period pass" means the unit of payment for using one project for a fixed period. (5) "Records" means the questions, answers, confirmed decisions, provisional decisions, requests for review and other information kept in the Service.
Article 3 (The Service) The Service is a tool in which AI suggests candidate items that are "not yet decided" from requirement documents and meeting transcripts, the Customer asks the people who decide, answers are collected and recorded, and acceptance-test checklists, decision records and registers (action items, issues and risks) can be exported to Excel.
Article 4 (Accounts) Customers must register with accurate information, keep their login credentials secure and not let third parties use them. Customers are responsible for use of the Service by their employees.
Article 5 (Free trial) New Customers may use one project free of charge for 30 days from registration. No credit card is required. To continue using a project after the trial, a period pass must be purchased.
Article 6 (Fees and payment) Period passes cost, per project, JPY 59,400 for 3 months, JPY 99,000 for 6 months and JPY 178,200 for 12 months (tax included). For Customers outside Japan, the prices are USD 399, USD 669 and USD 1,199. Payment is due at the time of purchase and is made by credit card through Stripe. Invoices and receipts are sent by email.
Article 7 (No automatic renewal) Each period pass is a one-time payment and does not renew automatically. To continue after the period ends, the Customer purchases a new pass. After a period ends, the project remains available for viewing and export, but new questions cannot be sent.
Article 8 (Use by client participants) Respondents use the Service free of charge. No account is needed; they answer through a personal link sent by the Customer and a 6-digit code sent by email. The Customer is responsible for explaining the use of the Service to its respondents.
Article 9 (Confirming permission before uploading) Before uploading documents or meeting content received from a client, the Customer must confirm, for example under its non-disclosure agreement, that the material may be uploaded to an external service. That decision is the Customer's.
Article 10 (Prohibited conduct) The following are prohibited: (1) use contrary to law or public order; (2) uploading documents or personal information without the right to do so; (3) unauthorized access to information of other Customers or respondents; (4) interfering with the operation of the Service or placing excessive load on it; (5) reverse engineering, copying or reselling the Service; (6) any other conduct we reasonably consider inappropriate.
Article 11 (AI output) The "not yet decided" items and evidence excerpts suggested by AI are candidates only. The Customer and respondents decide what to ask and what to decide. We do not guarantee that AI output is accurate or complete.
Article 12 (Nature of records) Records in the Service are records of agreement among the parties, not contracts. Contract terms and their legal treatment are to be agreed separately between the Customer and its client.
Article 13 (Guarantee and refunds) Period passes that have been paid for are, as a rule, not refundable. However, if, due to a defect in the Service, an answer submitted by a decision maker is not recorded as an agreement, we will refund the period-pass fee for that project divided by the number of months in the period (the equivalent of one month's fee). Please contact us within 30 days of noticing the issue.
Article 14 (Changes and suspension) We may change the content of the Service. We may temporarily suspend all or part of the Service for maintenance, incident response, natural disasters or other unavoidable reasons. Where possible, we will give advance notice on screen or by email.
Article 15 (Data handling) Documents and records registered by the Customer belong to the Customer. We handle them as a processor on the Customer's behalf, solely to provide the Service. Data is kept separate for each project. Our staff do not view project contents except for incident response with the consent of the organization's administrator, and any such access is logged. We use our AI provider under terms where inputs are not used for training.
Article 16 (Retention and export) Projects are kept for 5 years after they are closed. The retention period can be set per project between 1 and 10 years. Customers can export records to Excel and other formats at any time.
Article 17 (Cancellation and deletion) Customers may cancel at any time. On cancellation, a full export of the data is made available, and the Customer's data is deleted 90 days after cancellation.
Article 18 (Limitation of liability) Except in cases of our willful misconduct or gross negligence, we are not liable for damages incurred by the Customer in connection with the Service. Where we are liable, our total liability is limited to the fees paid by the Customer to us in the 12 months before the damage occurred.
Article 19 (Suspension and termination) If a Customer breaches these Terms, we may suspend use of the Service or terminate the agreement without prior notice.
Article 20 (Changes to these Terms) We may change these Terms as needed. We will give notice on screen or by email at least 30 days before a change takes effect.
Article 21 (Governing law and jurisdiction) These Terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction in the first instance over any dispute relating to the Service.
